Introduction & Acceptance

Welcome to Zechion AI. These Terms and Conditions (“Terms”) govern your access to and use of our website, applications, artificial intelligence models, and related services (collectively, the “Services”).

Zechion AI is a company established under the laws of the State of Delaware, United States of America. By accessing or using our Services from any country worldwide, you enter into a legally binding agreement with Zechion AI. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization.

International Notice: These Terms are designed to comply with the laws of the United States and the State of Delaware. However, by using our Services, you acknowledge that we operate globally, and you agree to comply with all applicable local laws in your jurisdiction.

Eligibility & User Representations

  • Age Requirement: You must be at least 18 years old (or the age of majority in your country of residence) to use the Services.
  • Authority: You represent that you have the full power and authority to enter into this agreement.
  • Compliance: You agree to comply with all applicable laws, rules, and regulations in the jurisdiction from which you access the Services, including but not limited to data privacy laws (such as GDPR, CCPA, UAE PDPL, etc.), export controls, and sanctions.

Services and Compliance Framework

Zechion AI provides artificial intelligence solutions for various industries, including healthcare. Depending on your use case and location, the following specific frameworks may apply:

  • HIPAA (US Healthcare): If you are a Covered Entity or Business Associate transmitting Protected Health Information (PHI), a separate Business Associate Agreement (BAA) is required.
  • Dubai Health Authority (DHA): If you are operating within the Emirate of Dubai or handling DHA-regulated data, you agree to comply with DHA standards.
  • GDPR (EU Users): If you are located in the European Economic Area (EEA), you have additional rights regarding your data as outlined in our Privacy Policy.
  • UAE PDPL: If you are in the UAE, you acknowledge our compliance with Federal Decree-Law No. 45 of 2021.

We reserve the right to refuse service to any jurisdiction where local laws conflict with US regulations or our operational capabilities.

Intellectual Property Rights

  • Our IP: All content, software, algorithms, trademarks, and materials provided through the Services are the sole property of Zechion AI or its licensors. They are protected by US and international intellectual property laws. You may not copy, modify, reverse engineer, or distribute our IP without written consent.
  • User Content: You retain ownership of any data, text, or files you submit (“User Content”). By submitting User Content, you grant us a worldwide, royalty-free, non-exclusive license to use, process, and store that content solely to provide and improve the Services, in accordance with our Privacy Policy.
  • Feedback: Any suggestions or improvements you provide may be used by us without compensation.

International Data Transfers and Storage

Zechion AI is headquartered in Delaware, USA. To provide our Services globally, your data may be transferred to, stored, and processed in the United States or other countries where we or our service providers operate.

  • Data Protection: We implement standard contractual clauses, binding corporate rules, and other legal mechanisms to ensure your data receives adequate protection regardless of where it is processed.
  • EU-US Data Privacy Framework: We comply with applicable frameworks for transfers from the EEA to the US.
  • US Operations: As a Delaware company, we are subject to US laws, including the ability of US authorities to access data as permitted by US federal law. By using our Services, you acknowledge this possibility.

User Responsibilities and Acceptable Use

You agree NOT to use the Services to:

  • Violate any local, state, national, or international law (e.g., exporting data to sanctioned countries).
  • Infringe upon the intellectual property or privacy rights of others.
  • Transmit any harmful code, viruses, or material that disrupts our systems.
  • Use AI outputs to provide medical, legal, or financial advice without proper qualifications and disclaimers.
  • Circumvent any geographic restrictions we may implement to comply with US export controls or local laws.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, ZECHION AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • AI Accuracy: We do not warrant that AI-generated outputs are error-free, complete, or suitable for your specific needs. You assume full responsibility for any decisions made based on our Services.
  • No Professional Advice: Zechion AI is not a medical provider, legal firm, or financial institution. Always consult a qualified professional for advice in these areas.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZECHION AI, ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability to you shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Zechion AI, its parents, subsidiaries, affiliates, officers, and employees from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of:

  • Your use of the Services;
  • Your violation of these Terms;
  • Your violation of any third-party right;
  • Your violation of any applicable law, whether in the US, UAE, EU, or your home jurisdiction.

Governing Law and Dispute Resolution

A. Governing Law

These Terms and any dispute arising out of them shall be governed by the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

B. Arbitration (For International Users)

To expedite resolution and reduce costs for our global users, any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

  • Place of Arbitration: Wilmington, Delaware, USA.
  • Language: English.
  • Class Action Waiver: You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

C. Exception for Small Claims and IP

Either party may bring suit in small claims court in Delaware for disputes within that court’s jurisdiction. Additionally, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

D. Access from Specific Countries

If you are accessing the Services from the European Union, nothing in this section deprives you of the protection of mandatory consumer protection laws in your country of residence. You may also bring claims in your local courts if required by applicable law.

Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Provisions that by their nature should survive termination shall survive, including Sections 4 (IP), 8 (Liability), 9 (Indemnification), and 10 (Governing Law).

Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via email or a prominent notice on our website. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

Entire Agreement and Severability

These Terms, together with our Privacy Policy and any executed Business Associate Agreements, constitute the entire agreement between you and Zechion AI regarding the Services. If any provision of these Terms is held to be invalid or unenforceable by a court or arbitration panel, the remaining provisions shall remain in full force and effect.
